End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you and Andrew Geddes, carrying on business as HeatScribe ("HeatScribe," "we," "us," or "our"), for the HeatScribe software application, including associated files, bundled components, updates within the applicable major version, and related documentation (collectively, the "Software").

By installing, activating, copying, accessing, or using the Software, you agree to this Agreement. If you do not agree, do not install, activate, access, or use the Software.

This Agreement applies to trial, Standard, and Pro use of HeatScribe.

1. Definitions

For this Agreement:

  • "Software" means the HeatScribe application and related software materials covered by this Agreement.

  • "Trial" means a limited-duration license made available before purchase.

  • "Standard" and "Pro" mean paid feature tiers within the same HeatScribe application.

  • "User" means the individual person licensed to use the Software.

  • "Device" means a Mac computer on which the Software is installed or activated.

  • "Major Version" means a version family designated by the number to the left of the first decimal point, unless HeatScribe states a different versioning rule for a particular release.

  • "Inspection Data" means files and materials a user creates, imports, stores, or processes through the Software, including images, metadata, findings, templates, project files, notes, and reports.

  • "Third-Party Components" means third-party SDKs, libraries, frameworks, packages, or bundled components included with or used by the Software.

  • "Third-Party Services" means external services used by certain Software features, including checkout, licensing, activation, map, weather, and support-related services.

2. License Grant

Subject to this Agreement, HeatScribe grants you a limited, non-exclusive, non-transferable license to install and use the Software for inspection, analysis, and reporting workflows.

For a paid license:

  • the license is granted on a per-user basis

  • a single licensed user may use the Software on up to 2 Macs used by that same person

  • the license is not a floating office-wide, company-wide, team-wide, or shared-seat license unless HeatScribe separately offers that type of license

  • activation on a new Mac may require internet access

  • once activated on a Mac, the Software is intended to continue working offline on that activated Mac, subject to the Software's current licensing design

For a Trial:

  • the license is temporary

  • the trial term is 14 days beginning on first launch

  • the trial provides access to Pro functionality during the trial period

  • after trial expiry, the Software may require purchase and license activation to continue use

3. License Restrictions

Except as expressly permitted by this Agreement or by applicable law that cannot be waived, you may not:

  • share one individual license among multiple users

  • rent, lease, resell, sublicense, distribute, or transfer the Software except as expressly permitted by HeatScribe

  • reverse engineer, decompile, or disassemble the Software

  • bypass, disable, tamper with, or circumvent licensing, activation, trial, or tier-access controls

  • remove or alter copyright, proprietary, attribution, or notice information

  • use the Software in a way that violates law, third-party rights, or applicable export controls

  • misrepresent the Software, its output, or its origin

  • use the Software to create or distribute misleading, unlawful, or harmful reports or materials

4. Standard And Pro Tiers

HeatScribe may be offered in multiple license tiers, including Standard and Pro. Feature availability depends on the license tier associated with your license.

Trial use is intended to provide Pro functionality during the trial period.

HeatScribe may change, rearrange, rename, add, or remove features between tiers in future releases, subject to any express promises made at the time of purchase and applicable law.

5. Ownership And Inspection Data

The Software is licensed, not sold. HeatScribe and its licensors retain all right, title, and interest in and to the Software, including all related intellectual-property rights.

HeatScribe claims no ownership of your Inspection Data, reports, images, or client information.

Except as necessary to provide requested support, licensing, activation, or other user-authorized services, this Agreement does not give HeatScribe a broad license to use your Inspection Data.

If the Software allows you to edit or customize report language, template language, disclaimer text, findings text, or other output content, you remain responsible for the final wording you choose to include in your reports and deliverables.

6. Third-Party Components And Services

The Software may include or depend on Third-Party Components and Third-Party Services. Some features may rely on third-party SDKs, mapping services, weather providers, payment providers, licensing services, or support-related services.

Third-Party Components and Third-Party Services may be governed by separate notices, terms, licenses, or privacy policies. They may change, fail, be discontinued, or become unavailable without notice.

7. DJI SDK Components

HeatScribe includes DJI Thermal SDK components for certain thermal-processing workflows.

Those components remain subject to applicable third-party rights, notices, and requirements. HeatScribe does not own the DJI SDK components.

8. Updates

Unless otherwise stated at purchase time:

  • purchase of a HeatScribe major version includes updates within that same major version

  • future major versions may require a separate purchase or upgrade fee

HeatScribe has no obligation to provide updates forever and may modify, improve, discontinue, rename, add, or remove features in future releases.

9. Support

At launch, support is provided by email only:

Support is provided on a best-effort basis. HeatScribe does not promise phone support, live chat support, a guaranteed response time, a guaranteed fix timeline, custom workflow consulting, engineering review, field interpretation, or custom report-writing help unless separately agreed in writing.

10. User Responsibilities

You are responsible for how you use HeatScribe and for any inspection, analysis, findings, recommendations, or reports you create with it.

You are responsible for:

  • verifying field conditions and image context

  • exercising your own professional judgment

  • selecting and reviewing thermal parameters and environmental assumptions

  • reviewing all findings, priorities, notes, report text, and exported reports before relying on or issuing them

  • interpreting applicable standards, codes, procedures, and maintenance requirements

  • determining whether any observed condition requires further investigation, repair, monitoring, or other action

  • ensuring that any thermal camera, drone, or related equipment used with the Software is properly calibrated, maintained, and operated within the manufacturer's specifications

  • ensuring that your use of the Software and any reports you issue comply with your professional, contractual, client, regulatory, and legal obligations

HeatScribe is an inspection-support, analysis, and reporting tool. It does not replace professional judgment, engineering review, field verification, or client-specific decision-making.

If HeatScribe provides default disclaimer text, template text, or other default report language, you may edit that text. You are responsible for the final wording included in any report or deliverable you issue, including any modified disclaimer text or any report issued without default disclaimer language.

11. Thermal Measurement And Output Limitations

HeatScribe processes thermal imagery and related metadata to support inspection, comparison, and reporting workflows. Thermal outputs, including temperature values, annotations, Delta T comparisons, findings, priorities, and report content, may be affected by many factors outside the Software's control.

These factors may include:

  • emissivity settings

  • reflected temperature

  • distance from subject

  • humidity

  • ambient conditions

  • weather conditions

  • solar loading

  • wind and environmental exposure

  • image quality

  • metadata quality

  • device firmware version

  • camera calibration state

  • manufacturer SDK limitations

  • drone, camera, lens, or model-specific behavior

  • the condition, setup, and operation of the equipment used to capture the image

Accordingly:

  • thermal outputs may be approximate, comparative, qualitative, or workflow-supporting in nature

  • displayed values and classifications should not be relied on in isolation

  • the Software does not guarantee detection of defects, hazards, failures, code issues, unsafe conditions, moisture, electrical faults, building defects, roof conditions, solar/PV defects, or mechanical issues

  • the Software does not guarantee that any finding, priority, Delta T result, report text, or recommendation is appropriate for a particular job, client, standard, jurisdiction, or professional use

  • quantitative conclusions should be independently verified where required

Any findings, priorities, ratings, notes, report statements, or organized outputs generated, suggested, or arranged by the Software are informational tools only and do not constitute engineering advice, repair instructions, safety certifications, compliance determinations, or independent professional conclusions.

12. Privacy And Data Handling

HeatScribe's handling of information is described in the Privacy Policy:

By using the Software, you acknowledge that certain information may be processed locally on your device and that certain features may involve Third-Party Services or Third-Party Components as described in the Privacy Policy.

13. License Activation And Device Changes

At launch, paid license activation is handled through Lemon Squeezy. A new Mac may require internet access for activation.

After successful activation, HeatScribe is intended to continue working offline on that activated Mac, subject to the Software's current licensing design.

If you replace, sell, lose, or experience failure of a Mac used with HeatScribe, reasonable activation resets may be handled through support.

If HeatScribe's activation infrastructure is ever permanently discontinued, HeatScribe will make reasonable efforts to provide an alternative activation method, final unlock path, or removal of the activation requirement for existing paid users.

14. Export Compliance

You agree not to use, export, or re-export the Software in violation of applicable export-control, sanctions, or trade laws.

15. Disclaimer Of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS.

HEATSCRIBE DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.

WITHOUT LIMITING THE FOREGOING, HEATSCRIBE DOES NOT WARRANT THAT:

  • THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE

  • THE SOFTWARE WILL MEET YOUR PARTICULAR REQUIREMENTS

  • THERMAL OUTPUTS, TEMPERATURE VALUES, FINDINGS, PRIORITIES, OR REPORT CONTENT WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR ANY PARTICULAR USE

  • ANY THIRD-PARTY SERVICE, MAP, WEATHER SOURCE, LICENSING SERVICE, PAYMENT PROVIDER, OR THIRD-PARTY SDK WILL REMAIN AVAILABLE OR OPERATE WITHOUT ERROR

YOU ACKNOWLEDGE THAT THE SOFTWARE'S OUTPUT DEPENDS IN PART ON USER INPUTS, IMAGE QUALITY, HARDWARE CONDITION, FIRMWARE BEHAVIOR, ENVIRONMENTAL CONDITIONS, AND THIRD-PARTY COMPONENTS THAT ARE OUTSIDE HEATSCRIBE'S CONTROL.

Nothing in this Agreement limits rights that cannot be limited under applicable law.

16. Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEATSCRIBE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SOFTWARE OR SERVICES, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF HEATSCRIBE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HEATSCRIBE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED:

  • THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE LICENSE GIVING RISE TO THE CLAIM, OR

  • USD $10.00 IF THE CLAIM ARISES FROM TRIAL OR OTHER NO-CHARGE USE

YOU ACKNOWLEDGE THAT THE SOFTWARE IS A TOOL TO SUPPORT PROFESSIONAL WORKFLOWS AND THAT YOU, NOT HEATSCRIBE, REMAIN RESPONSIBLE FOR FINAL INSPECTION DECISIONS, REPORT CONTENT, FIELD VERIFICATION, AND PROFESSIONAL RELIANCE ON ANY OUTPUT.

Nothing in this Agreement is intended to exclude liability that cannot be excluded or limited under applicable law.

17. Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless HeatScribe from third-party claims arising out of:

  • your misuse of the Software

  • your unlawful conduct

  • your issued reports, conclusions, or recommendations

  • your violation of this Agreement

  • your violation of third-party rights

18. Term And Termination

This Agreement remains in effect until terminated.

You may stop using the Software at any time.

HeatScribe may terminate this Agreement or suspend licensing, activation, updates, or support if you materially breach this Agreement, including by pirating the Software, sharing a license among multiple users, bypassing license controls, distributing unauthorized copies, or using the Software unlawfully.

Termination does not limit any rights or remedies available to HeatScribe under this Agreement or applicable law.

19. Changes To This Agreement

HeatScribe may update this Agreement from time to time. Material changes may require renewed acceptance in the Software or through another designated notice method.

20. Notices

Formal notices related to this Agreement may be provided in-app, by email, by website posting, or by another reasonable method identified by HeatScribe.

21. Governing Law

This Agreement is governed by the laws of Ontario, Canada, unless non-waivable consumer-protection or other mandatory laws require a different result.

22. General Terms

This Agreement is intended to form the full agreement between you and HeatScribe regarding the Software, subject to any separate written agreement expressly stated to override it.

If any part of this Agreement is found unenforceable, the remainder should continue to apply to the maximum extent permitted by law.

HeatScribe's failure to enforce any provision is not a waiver of future enforcement.

HeatScribe may assign this Agreement in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the HeatScribe business.

HeatScribe will not be responsible for delays or failures caused by events beyond its reasonable control.
